Terms of Service

These Terms of Service ("Terms") govern your use of the HR Onboarding service operated by Digitspots Solutions ("Digitspots", "we", "us") at hronboarding.org and related subdomains (the "Service"). By creating an account, accessing, or using the Service, you ("Customer", "you") agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
1. Agreement
These Terms, together with our Privacy Policy and any order form or subscription plan you select in-product, form the entire agreement between you and Digitspots regarding the Service. They supersede any prior agreements on the same subject matter.
2. Account registration
To use the Service, you must register a tenant account, provide accurate information, and keep your login credentials secure. You are responsible for all activity under your account. You must promptly notify us at support@hronboarding.org of any suspected unauthorised access.
3. Use of the Service
Subject to these Terms and your payment of applicable fees, Digitspots grants you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal HR and employee onboarding operations during the subscription term.
4. Acceptable use
You agree not to:
- Send unsolicited bulk messages, spam, or content that violates messaging-platform policies (Slack, WhatsApp, Zoho Cliq, email providers);
- Scrape, crawl, or use automated tools to extract data from the Service other than via documented APIs;
- Resell, sublicense, white-label, or expose the Service to third parties as a stand-alone offering;
- Reverse engineer, decompile, or attempt to access source code or underlying infrastructure;
- Upload malware, unlawful content, or data you have no right to process;
- Use the Service to compete with Digitspots or to build a similar product.
5. Customer data ownership
As between the parties, you retain all rights, title, and interest in data you or your employees submit to the Service ("Customer Data"), including employee records, documents, and conversation transcripts. We do not sell Customer Data and do not use it to train third-party foundation models.
6. Our license to process
You grant Digitspots a limited, worldwide, royalty-free license to host, copy, transmit, display, and process Customer Data solely to provide, secure, support, and improve the Service for you, and as further described in our Privacy Policy and Data Processing Addendum.
7. Subscription, billing, and refunds
The Service is offered on a subscription basis. New tenants receive a 14-day free trial. At the end of the trial, your selected plan automatically begins and recurring charges are billed in advance via Stripe (international) or Paystack (Nigeria), based on the plan and currency selected at signup.
You may cancel at any time from the admin dashboard. Cancellation stops future renewals; fees already paid for the current billing period are non-refundable except where required by law. We may change pricing on 30 days' notice; price changes take effect on your next renewal.
8. Termination
Either party may terminate for material breach not cured within 30 days of written notice. We may suspend the Service immediately for security threats, non-payment, or violations of the Acceptable Use section. On termination, you may export Customer Data for 30 days; after that, we will delete or anonymise Customer Data subject to the retention periods in our Privacy Policy.
9. Warranties and disclaimers
Digitspots warrants that the Service will perform materially in accordance with its published documentation. EXCEPT FOR THE EXPRESS WARRANTY ABOVE, THE SERVICE IS PROVIDED "AS IS" AND DIGITSPOTS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated responses are best-effort and may contain errors; you are responsible for human review of HR decisions.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO DIGITSPOTS FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR DATA.
11. Indemnification
You will defend, indemnify, and hold Digitspots harmless from third-party claims arising from (a) Customer Data, (b) your use of the Service in violation of these Terms, or (c) your violation of applicable law. We will defend and indemnify you against third-party claims that the Service, used as permitted, infringes their intellectual property rights.
12. Confidentiality
Each party will protect the other's confidential information with the same care it uses to protect its own (and no less than reasonable care), use it only to perform under these Terms, and not disclose it except to employees and contractors bound by similar confidentiality obligations.
13. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties submit to the exclusive jurisdiction of the courts of Lagos, Nigeria, except that either party may seek injunctive relief in any court of competent jurisdiction. For Customers domiciled outside Nigeria, the courts of England and Wales serve as a secondary forum by mutual agreement.
14. Modification
We may update these Terms from time to time. Material changes will be announced by email to the tenant admin and posted in-product at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
